These terms apply when you find, order or buy goods on XoraPro Market at xorapro.com/market, or in a XoraPro Market app. They are short on purpose. If anything here is unclear, write to us.

1. Who we are, and who sells to you

1.1 XoraPro Market is run by M/s N.P. Xora Private Limited, a company registered in Nepal (Company Registration No. 387740/82/83, PAN 623570591, Ward No. 3, Samakhusi, Kathmandu Metropolitan City). Where these terms say "we" or "XoraPro", that is the company.

1.2 XoraPro Market is an intermediary platform. It shows the goods of registered Nepali businesses that use XoraPro, so you can find them and order from them (Electronic Commerce Act 2081 s.2(g)).

1.3 The shop sells to you, not XoraPro. When you order, your contract is with the shop (s.7). The shop sets the price, accepts your order, delivers it or has it ready to collect, takes your payment, gives you its invoice, and takes goods back. Each shop's name, PAN or VAT number and contacts are shown on its pages.

1.4 A shop's own website on xorapro.com/market/<shop address> is run by that shop, with XoraPro as its software. These terms apply to Market orders; the shop's own terms, shown on its pages, also apply.

2. Prices

2.1 The price shown is the final price including tax, and it is the price on your invoice (s.6(b)).

2.2 Any delivery charge is shown to you before you order (s.6(c); Electronic Commerce Directive 2082 cl.8(3)). After the goods are handed over, the shop may not take anything beyond the price, the tax and that delivery charge.

2.3 Some shops give approved business buyers a trade price. You see it only after the shop approves your business.

3. Placing an order

3.1 Your order is a request to the shop. The shop confirms it, and may call or message you to check the details before it sends your goods.

3.2 The shop may decline an order, for example if the goods are out of stock. It will tell you, and you pay nothing.

3.3 Cancelling. You can cancel before the shop dispatches your goods (s.6(m)). After dispatch, the returns rules apply.

3.4 Age-restricted goods. Some goods can be sold only to people aged 18 or over. You will be asked to confirm your age, and the shop or its rider may ask to see proof.

3.5 Give your real name, phone number and address. Orders placed with false details, or to cause a shop loss, may be refused and reported.

4. Paying

4.1 You pay the shop when your order arrives or when you collect it, in cash or by QR to the shop, or on your business's account if the shop has approved credit for you. XoraPro never asks you to pay in advance and never holds your money.

4.2 Paying the shop's rider or courier counts as paying the shop (s.8(1)).

4.3 When you pay, you get the shop's invoice with a receipt of payment (s.8(3); Consumer Protection Act 2075 s.11(g)). Keep it: you need the bill to return goods (Consumer Protection Act s.14(3)).

5. Delivery and collection

5.1 The shop delivers to the place and in the time it told you, or you collect from the shop (s.9). Each shop shows where it delivers, whether you can collect, and its delivery promise.

5.2 If you and the shop agree before dispatch to change the place or time, the shop delivers to the new place or time, and any change in charges is agreed between you (s.9(4), (5)).

5.3 When the goods arrive, check them and tell the shop, or us, as soon as possible if something is wrong (s.17(3)).

6. Returns and refunds

The rules are on the Returns page, which forms part of these terms. In short: goods that are not as described, wrong, faulty or late are taken back and refunded including tax; unused goods can be returned with the bill within 7 days; sealed goods within 15 days with the seal unbroken. Refunds that are due are paid within 7 days (Electronic Commerce Directive 2082 cl.9(3)), in cash or by QR, not as a voucher unless you ask. Shops may offer more, never less.

7. Complaints

7.1 If something is wrong with an order or a listing, use Report a problem on your order page, the product or the shop, or contact the XoraPro Market Grievance Desk below. You can also complain in writing or in person (s.33(1)).

7.2 We register your complaint and give you a reference number at once (s.33(2)). We pass it to the shop and ask it to answer within 48 hours.

7.3 We look into it and tell you our decision in writing within 15 days of receiving it. If we cannot resolve it, we tell you why in writing (s.33(3), (5)). We will not turn your complaint away because we did not make the goods (s.20).

7.5 You can also complain to the Department of Commerce, Supplies and Consumer Protection or an inspection officer (Electronic Commerce Act s.28; Consumer Protection Act s.36). Using our desk first does not take that right away.

8. Your account

8.1 You can see and change your details from your account page (s.12(3)).

8.2 Keep your sign-in to yourself. Tell us at once if you think someone else has used it.

8.3 How we handle your information is in the Privacy Policy, section "XoraPro Market".

9. What you must not do

Do not place fake orders, give false details, show a fake payment screenshot, post a fake review, threaten a rider or a shop, or try to harm anyone through the Market (s.17(2)). We may block an account that does.

10. Goods that are not allowed

Some goods are not allowed on XoraPro Market. The list is on the Prohibited and restricted goods page. If you see a listing that should not be there, report it.

11. Labels

If a shop or product is placed above others for any reason other than your own search and filters, it carries a visible label such as "Founding shop" or "Sponsored" (s.14(d)). "Founding shop" means one of the first 99 businesses to join XoraPro; it is not a quality rating and was not paid for.

12. What we are responsible for

12.1 We run the Market with reasonable care, show you the details shops give us and the details the law requires, run the grievance desk, and act on reports.

12.2 The shop is responsible for its goods, its prices, its delivery and its refunds. Your rights under the Consumer Protection Act 2075 and the Electronic Commerce Act 2081 are not reduced by anything in these terms.

13. Changes to these terms

When we change these terms we publish the new version here with its date. The version in force when you placed an order applies to that order.

14. Law

These terms are governed by the law of Nepal, and the courts of Nepal decide disputes. Write to us first; most things are settled by talking.
